BizView — Terms of Service

1) Overview
These Terms of Service (“Terms”) govern your access to and use of BizView’s websites, applications, APIs, and services (collectively, the “Service”). “BizView,” “we,” and “us” refer to [BizView, Inc.], a Wyoming, United States company with a principal place of business at 30 N Gould, Sheridan, WY 82801. By using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization; “Customer” will mean that organization.
2) Eligibility
You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Service. If you are 13–17, you may only use the Service with consent of a parent or legal guardian. You may not use the Service if you are subject to sanctions or are otherwise barred under applicable law.
3) Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Promptly notify us of unauthorized use. We may require multi-factor authentication for certain actions.
4) Subscriptions, Fees, and Taxes
4.1 Plans & Billing. Access to the Service may require a paid subscription. You authorize us (and our payment processor) to charge the subscription fees and applicable taxes to your provided payment method.
4.2 Auto-Renewal. Subscriptions renew automatically at the end of each billing cycle unless you cancel through the dashboard prior to renewal.
4.3 Changes. We may change plan features and pricing on renewal with prior notice as required by law.
4.4 Refunds. Unless required by law or expressly stated in your plan, fees are non-refundable.
4.5 Taxes. You are responsible for any applicable sales, VAT, GST, or similar taxes.
5) Customer Data & Roles
5.1 Customer Data. “Customer Data” means data you or your users submit to or connect with the Service (e.g., platform metrics, CRM data, website analytics, ad accounts, financial signals), and outputs derived from your Customer Data.
5.2 Controller/Processor. For account administration and billing information, BizView is an independent controller. For Customer Data ingested from your connected platforms, BizView acts as your processor (or service provider/contractor under CCPA) and processes it only per your instructions, the Agreement, and applicable laws.
5.3 Access & Use. You grant BizView a worldwide, non-exclusive license to host, process, and display Customer Data solely to provide and improve the Service, troubleshoot, ensure security, and as otherwise permitted by these Terms and law.

6) Acceptable Use
You will not, and will not allow third parties to:
a) misuse or overrun platform rate limits;
b) access the Service to build a competing product;
c) reverse engineer or attempt to extract source code (except as permitted by law);
d) transmit malware, spam, or infringing/illegal content;
e) attempt to circumvent technical or usage limits;
f) use the Service to process special category data (e.g., health, biometric) unless we’ve agreed in writing;
g) violate third-party platform terms when connecting accounts;
h) misrepresent data provenance or modify lineage indicators.
7) Third-Party Platforms
The Service may enable connections to third-party platforms (e.g., social networks, ad networks, analytics tools, CRMs, billing providers). Those platforms are not controlled by BizView and may have their own terms and privacy practices. You are responsible for maintaining your accounts and authorizations with those platforms. We are not liable for outages, changes, or limits imposed by them.
8) Intellectual Property
8.1 BizView IP. We own all right, title, and interest in and to the Service, documentation, and related IP, including improvements and feedback (assigned to us).
8.2 Customer Content/IP. You retain all rights to Customer Data. You grant us the limited license in §5.3.
8.3 Marks. You grant us a limited right to use your name and logo in customer lists and marketing, unless you opt out by emailing [legal@bizview.io

9) Confidentiality
Each party may disclose confidential information to the other. The receiving party will use such information only to perform under these Terms and will protect it using reasonable measures. Exclusions include information that is public, independently developed, or lawfully obtained without confidentiality obligations. Compelled disclosures are permitted with notice where legally allowed.
10) Security; Data Integrity
We implement administrative, technical, and organizational measures designed to protect Customer Data (e.g., encryption in transit/at rest, access controls, logging). No system is 100% secure; you acknowledge residual risk. We provide lineage details (source, endpoint, last sync, transformations) where feasible to support data integrity.
11) Availability and Support
We aim for high availability but do not guarantee uninterrupted Service. We may perform maintenance (scheduled or emergency). Certain features may be labeled Beta; they are provided “as is,” may change, and may have limited support.
12) Warranties & Disclaimers
THE SERVICE IS PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS.
13) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES; AND (b) EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO BIZView IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITATIONS APPLY EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING LIMITS LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.
14) Indemnification
You will defend and indemnify BizView against claims arising from: (i) your Customer Data; (ii) your breach of these Terms; or (iii) your violation of laws or third-party rights. We will defend and indemnify you against claims that the Service, as provided by us, infringes a third party’s IP right, except to the extent arising from your modifications or combination with non-BizView products.
15) Term; Suspension; Termination
These Terms apply while you use the Service. We may suspend or terminate access for breach, security risk, legal compliance, non-payment, or misuse. You may terminate anytime via the dashboard; termination takes effect at the end of your billing period unless we agree otherwise. Upon termination, we will delete or return Customer Data per §16.
16) Data Retention & Deletion
During your subscription, you may export certain Customer Data where supported. Following termination or upon request, we will delete Customer Data within a commercially reasonable period, except where retention is required by law, for dispute resolution, or for backup integrity (after which cycles purge).
17) Changes to the Service or Terms
We may update the Service and these Terms. If changes are material, we will provide notice (e.g., email or in-app) and the update will take effect on the stated date. Continued use after the effective date constitutes acceptance.
18) Export Controls; Sanctions
You agree to comply with all applicable export control and sanctions laws. You may not use the Service in embargoed countries or for prohibited end uses.
19) Governing Law; Dispute Resolution
These Terms are governed by the laws of [Delaware, USA], excluding its conflicts rules. Dispute Resolution. The parties will attempt good-faith informal resolution for 30 days. If unresolved, disputes will be finally resolved by binding arbitration administered by [JAMS/AAA] in [Wilmington, Delaware] in English, with one arbitrator. Class Action Waiver: disputes must be brought individually. You may seek injunctive relief in a court of competent jurisdiction for IP or unauthorized access claims.
20) Miscellaneous
Entire agreement; assignment with notice (not to competitors without consent); severability; force majeure; no third-party beneficiaries; notices to the email on your account or to [legal@bizview.io
